Our client is a global alternative investment firm. The firm invests capital on behalf of institutional investors, focusing on asset classes tied to structural economic shifts, defensive yield characteristics, and long-term utility.
The role
Our client is seeking a versatile senior lawyer to join its Asia-Pacific legal team in Sydney. The successful candidate will provide legal support across various investment strategies. Key responsibilities include:
- Lead legal due diligence, structure complex investments, and draft/negotiate core documentation, including credit agreements, intercreditor agreements, security packages, loan modifications, and traditional M&A share purchase agreements.
- Advise on private credit origination, asset-backed lending, project finance, and debt restructuring for portfolio companies and third-party borrowers.
- Provide ongoing legal and commercial support for existing portfolio investments, overseeing corporate governance, credit compliance, amendments, waivers, and bolt-on financing arrangements.
- Collaborate with compliance and fund formation colleagues on credit fund regulatory matters, co-investment vehicles, and borrower/lender compliance frameworks.
About you
- 8–12 years of post-qualification experience gained within a top-tier private practice law firm or an in-house role within private credit, private equity, or alternative asset management.
- Fluency in credit documentation, negotiation dynamics, and multi-party debtor-creditor relationships alongside strong corporate M&A fundamentals.
- Ability to balance complex credit risk with commercial business objectives while operating autonomously in a fast-paced transactional environment.
- Admitted to practice as a lawyer in Australia or New Zealand with strong academic and professional credentials.
